Terms and Conditions | VYLINO

VYLINO — Service Terms & Conditions | Updated 15 October 2026. Applies to new orders expressly accepted after publication.

These Terms describe purchases of website development, redesign, WooCommerce/ecommerce solutions, digital marketing, SEO, website maintenance, managed plans and related services from VYLINO (“we”). The specific written quotation, product description, accepted Statement of Work (“SOW”) and invoice are part of the agreement. If a signed SOW conflicts with these general terms, the more specific written agreement governs to the extent lawful. Statutory consumer rights always prevail.

1. Business and contact

VYLINO, founded by Archana Yadav, serves customers from India and remotely abroad. Business correspondence address: 265, Bansa Govindgarh, Rewa, Madhya Pradesh 486550, India; Jaipur unit: Amer Road, near Jorawar Singh Gate, Jaipur, Rajasthan 302002. Customer support and grievances: contact@vylino.com; +91 90981 93452. VYLINO is the contracting business name; tax and invoice identifiers, where applicable, are shown on the relevant invoice. Customer Grievance Officer: Archana Yadav, Founder.

2. Agreement and order acceptance

Storefront information describes a service and does not override expressly agreed specifications. A quotation is not an obligation to buy; submitting an enquiry or booking a discussion is not itself payment authorisation. An order is accepted after VYLINO confirms scope, feasibility, price, taxes, delivery assumptions and any advance as specified. We may decline work that is unlawful, infringes rights, requires access the customer cannot authorise, or is outside our capabilities; any payment already received will be handled under applicable refund law.

3. Scope and changes

Included pages, products, integrations, hosting, domains, licences, images, SEO activities, revisions, analytics setup, accessibility scope, migration tasks and support must appear in the relevant product description or SOW. Additional requirements, redesigns, integrations, copywriting, advanced accessibility audits, third-party subscriptions and out-of-scope changes may require a separate estimate and written approval. Silence does not authorise paid scope changes.

4. Customer responsibilities

The customer warrants it has the right to submit all text, media, trademarks, datasets and instructions, and will provide accurate information, requested content, timely reviews and lawful delegated administrator access. VYLINO will not knowingly implement malware, spam, deceptive endorsements, prohibited data collection, unlawful content or infringing materials. The customer remains responsible for the legality of its offers and end-user notices and for reviewing its website before launch.

5. One-time website project fees and 50%–30%–20% milestones

For custom website design and development projects, unless the customer and VYLINO agree to a different milestone schedule in a signed or electronically accepted quotation, the project fee is payable as follows: (a) 50% advance before project commencement; (b) 30% when the substantial agreed website build is ready for client review on a staging or preview link; and (c) 20% on the day of final website delivery or agreed go-live, against the final invoice. The final amount is due on the delivery date under this default structure. Separate hosting, premium licences, domain renewal, advertising spend and government taxes are included only if expressly stated in the quotation.

VYLINO will issue written payment requests/receipts and give the customer a reasonable opportunity to inspect the staging build against agreed specifications before the second milestone is accepted. A preview-ready notice must describe the pages/features available and identify any agreed unfinished items. An incomplete or materially non-conforming draft is not a valid basis to demand the 30% review milestone. Final acceptance and delivery require agreed material features to be provided, subject to a documented minor-defect rectification list.

The initial 50% advance is applied to reserving project resources, discovery, planning, design and authorised development work. Amounts reasonably attributable to work actually performed and disclosed non-recoverable expenses may be retained upon customer cancellation; it is not an unconditional forfeiture or a blanket “non-refundable digital product” rule. Where VYLINO has not performed the service, materially breaches the contract or the law requires a refund, appropriate remedies remain available. Work beyond the agreed scope requires a fresh written quote and approval; VYLINO may not impose new fees merely by changing a listing.

Payments use authorised gateways or invoiced methods. No employee should request OTPs, passwords, card PINs or CVVs. For agreed monthly subscriptions, the 12-month initial commitment in section 6 applies instead of the above one-time milestone schedule unless expressly incorporated into an individual project quote.

6. Subscriptions — one-year initial commitment

12-month minimum term. Unless a written quotation explicitly states otherwise, subscriptions ordered from VYLINO, including managed website, maintenance, SEO and Google Business Profile service plans, carry an initial 12-consecutive-month (one-year) service commitment starting on the confirmed activation date. The commitment applies when expressly disclosed and accepted before purchase, whether billed monthly or annually. Each offer must state the monthly/annual fee, total minimum-term cost, included scope, cancellation and renewal rules, taxes and external charges. One-time services are not locked in, and this provision does not retroactively change existing orders.

Monthly billing is not the same as a monthly-cancellable contract. Customers can request early termination anytime, and may separately revoke an automated payment mandate through the provider’s lawful cancellation mechanism. Withdrawing a mandate does not automatically cancel valid contractual dues. On early termination, VYLINO may recover reasonable, clearly disclosed, proportionate amounts for work already delivered and documented unavoidable costs, but will not automatically claim all remaining monthly fees as a punitive charge or forfeit every unused prepaid amount. We will consider refunds for unperformed services, VYLINO’s material breach and all non-excludable consumer rights.

At the end of 12 months: the subscription ends unless renewal terms have been separately disclosed and lawfully accepted. No automatic payment or renewal without valid authorization. You can notify contact@vylino.com</a before the end of the term to decline renewal. Termination, migration, domain ownership, website data export, hosting cut-off, backups and paid licences follow the accepted Statement of Work and applicable law; VYLINO will not hold client-owned domains or data as an undisclosed penalty.

If a store item is labelled quotation only, submitting an enquiry does not initiate a subscription or recurring debit. This one-year commitment must be shown conspicuously on each eligible product page and accepted order before it binds a customer.

7. Project timelines, readiness and documented acceptance

The agreed project development clock begins on the later of (i) confirmed receipt/clearance of the initial 50% advance (or the agreed first payment), and (ii) receipt of the complete initial content, media, brief, lawful account access and other prerequisites identified in the written quote. The calendar date of an enquiry, quotation or invoice alone does not start the delivery countdown. VYLINO will communicate a reasonable delivery estimate and record the actual start date.

Client delay in providing materials, feedback, logins, third-party approvals or milestone payments may pause or extend the schedule by the period reasonably attributable to that delay, with timely written notification and a revised estimate. Additional work or mutually agreed scope changes can also change the timeline with documented approval. VYLINO remains responsible for unreasonable delays attributable to its own performance.

“Website ready for preview” means a substantially complete build is accessible for review and functional testing as specified in the quote, and may trigger the 30% milestone only if conforming to the agreed scope. “Final delivery” means the agreed website has been launched or transferred in the agreed environment, promised deliverables and handover arrangements are made available, and VYLINO issues a dated completion/handover notice; the last 20% is due on that day. A staging screenshot by itself is not final delivery.

The customer should give a written acceptance or an itemised list of reproducible in-scope issues promptly after receiving the final delivery notice. Absence of immediate objections does not waive defects that are not reasonably discoverable, an express warranty or mandatory statutory rights. Client-caused changes or additions after approval are change requests, not necessarily defects.

8. Website ownership, credentials, handover and client control

Upon payment of all agreed project fees and completed handover, the customer receives the agreed website deliverables and the rights to use, control, edit, manage, transfer and administer the completed website, subject to clearly disclosed third-party and pre-existing licences. To the extent VYLINO owns the copyright in bespoke project-specific deliverables, the agreed transferable economic rights are assigned or licensed as set out in the accepted project quotation or written handover document. This clause does not automatically transfer open-source WordPress code, commercial plugin licences, stock assets, VYLINO’s proprietary reusable components, third-party integrations, domain or hosting accounts that VYLINO does not own or cannot lawfully assign.

Where in scope, VYLINO will provide or transfer the customer’s WordPress administrator access, eligible hosting/domain control, agreed website files or backups, content, database export and reasonable operational instructions via a safe delivery method. The customer may choose to hold domain and hosting accounts directly and grant VYLINO limited delegated access while work is underway. The project-specific handover record should identify the website URL, hosting account owner, administrator rights, backup/export method, premium licences, any unfinished items, payment confirmation and delivery date. All credentials should be reset or removed on termination of VYLINO’s authorised access.

After a documented completed handover, the customer is responsible for the website’s day-to-day operation, lawful business content and products, customer communications, privacy and cookie notices, payment settings, data-controller duties, user permissions, account security, renewals, hosting uptime, routine backups, software/plugin updates and future modifications, unless the customer separately engages VYLINO for a written maintenance/hosting/support service that expressly allocates those responsibilities.

The customer is solely accountable for future changes made by the customer or other unauthorised/third-party administrators, and for losses reasonably caused by such later changes, expired subscriptions or passwords, omitted backups, host outages or malware introduced after handover without fault attributable to VYLINO. VYLINO is not an ongoing website operator, publisher, merchant of the customer’s products or guarantor of uninterrupted data availability merely because it originally built the site.

Nothing in this handover allocation excuses VYLINO for defects existing at delivery, its own negligent or unauthorised acts, unlawful processing, breach of an express obligation, retained access misused after handover or liability that cannot legally be limited. Responsibilities during an active VYLINO maintenance agreement remain governed by that agreement.

9. SEO, advertising and performance

Search rankings, leads, revenue, indexing timing, directory acceptance, backlinks, search-engine account decisions, social reach, GBP verification and third-party platform availability are not guaranteed. Work will be carried out using reasonable professional care within the agreed budget and scope. We do not undertake fake reviews, impersonation, paid undisclosed endorsements or manipulative link schemes. Advertiser spend and third-party fees are separate where specified.

10. Security, backups, data loss and post-delivery support

During development VYLINO will use reasonable professional care and any security/backup safeguards agreed in the quote. Development and hosting are not a representation of absolute protection from attacks, downtime or data loss. The customer must protect its credentials, control authorised users, maintain appropriate independent backups and verify post-handover hosting, domains, SSL renewals, plugins, software updates and legal notices.

Unless a separate ongoing care plan is contracted, VYLINO’s routine maintenance, uptime monitoring, incident response, periodic backup and disaster-recovery obligations cease after documented delivery and full handover. VYLINO is not responsible for loss of information or downtime caused after delivery by customer actions, third-party changes, hosting providers, unauthorised account access, expired licences or absent client backups, except to the extent caused or materially contributed to by VYLINO’s own breach, negligent development, undisclosed material defect or continuing agreed duty.

Customer reports of demonstrable in-scope defects that existed at delivery will be reviewed and appropriately rectified in accordance with the written scope, any agreed bug-fix period and legally required remedies. New features, later redesigns, new content, third-party provider changes and ongoing support may be separately quoted. VYLINO’s Privacy Policy and applicable project data-processing instructions apply where we handle personal data.

11. Confidentiality and data

Both parties should protect confidential project information except as authorised or legally required. Neither party is permitted to disclose the other party’s credentials, private assets or unpublished materials for unrelated purposes. Where VYLINO processes a customer’s end-user data, the parties should agree suitable processing instructions and safeguards. No customer’s private project is published as a portfolio case without an appropriate right or permission.

12. Project cancellation, advance and digital-service refunds

Website development is a customised digital service, often involving creative work and third-party purchases. Once VYLINO commences and documents authorised work after receiving the 50% advance, VYLINO may retain a fair amount reflecting work performed, reserved work capacity where legally supportable and previously disclosed unavoidable third-party costs. The advance is not automatically refundable on a change of mind for work already rendered, but it is also not automatically entirely forfeited merely because the service is digital or work has started. Any balance of prepayment for unperformed work is assessed and returned where the contract or law requires.

After final delivery and handover of a substantially conforming website, fees attributable to satisfactorily delivered custom development normally are not refundable merely because the customer later changes requirements, closes its business or no longer needs the website. This does not exclude remedies for material non-delivery, defective service, misleading claims, unlawful practices or other mandatory consumer rights. The full Refund & Cancellation Policy gives the review process, evidence requirements and calculation basis.

13. Service interruption, suspension and exit

We may suspend access proportionately where necessary for serious security threats, unlawful use, a confirmed material breach or a valid unpaid amount after appropriate notice where practicable. We will not withhold a customer’s legally owned domain or data as an undisclosed penalty. On termination, parties will follow the agreed handover process, applicable third-party terms, accrued lawful charges and data-retention obligations. Restoration or migration beyond the agreed scope may be separately quoted.

14. Performance, liability and proportionate limitations

VYLINO will exercise reasonable care and skill in delivering the agreed project and in protecting access and client materials in its custody. After documented client handover, VYLINO is not liable for business operations, illegal client content, end-user privacy choices, later client or other providers’ edits, server outages, cyberattacks or data loss beyond VYLINO’s reasonable control, except where caused or materially contributed to by VYLINO’s own negligent or unlawful conduct or unfulfilled express contractual obligation.

To the extent law permits, neither party is liable for speculative or remote indirect business losses that were not reasonably foreseeable from a breach. Any negotiated monetary liability cap must be expressly agreed in the written project quotation and remains subject to mandatory legal limits. No limitation excludes fraud, wilful misconduct, legally non-excludable responsibility, or a customer’s statutory remedies for deficient services. The client is responsible for its own legal notices, products, consumer promises, GST and regulatory compliance after handover unless VYLINO expressly undertook a specific part of that compliance in writing.

16. Applicable law, jurisdiction and changes

India’s applicable laws govern transactions subject to mandatory consumer-protection and private-international-law rules. For business-to-business disputes, any valid and appropriately agreed forum clause will appear in the relevant signed contract; no clause here deprives consumers of forums they are legally entitled to use. Revised terms will be dated and apply prospectively as required; material changes to existing contracts require consent where the law or contract requires it. Invalid portions do not automatically invalidate the rest.
